Consortium Agreement for FP7 Marie Curie ITN

I am in the process of drafting a Consortium Agreement for a ITN. Does anyone have specific adaptions that they would suggest to the DESCA model in order for it to fit better to ITNs?

There are for example specific challenges regarding the training costs, which should be divided between the parties. Further there are associated partners involved, which is an exception in FP7 projects.

I would welcome any input on these issues.

Handling the interests of potentially competitive SMEs

We have 5 SMEs in an IP.  Two are very specialised in their different market sectors.  The other three operate in similar sectors and there could potentially be conflicting interests in exploitation of the technology and IP developed.  Does anyone have a good way of handling this other than the “normal” IP rules?

Consortium Agreement, general assembly quorum

A Coordinator is worried to find himself in meetings of the General Assembly not reaching the 2/3 quorum of members (DESCA 6.2.3) and thus unable to deliberate validly, with all present parties incurring travel costs for nothing.
What about “a member that is neither present nor represented at the meeting becomes irrelevant for the quorum”?
